Terms of Service
General terms governing use of the MetaPass website and engagement with MetaPass Digital Solutions.

1. Acceptance of Terms
By using this website or engaging MetaPass Digital Solutions for services, you agree to these Terms of Service to the extent applicable to your use or engagement.
2. Services
MetaPass may provide services including AI automation, business workflow automation, Meta advertising support, CRM and lead-management systems, messaging automation, websites, mobile applications, internal software, competition intelligence and related consulting or implementation services.
The exact scope of any project will be defined through written communication, quotation, proposal or other agreed project documentation.
3. Client Responsibilities
Clients are responsible for providing accurate information, necessary approvals, lawful access to systems and accounts, timely feedback, required content or assets, and cooperation reasonably needed to complete the agreed work.
Clients must ensure that their use of advertising, messaging, customer data, AI, CRM systems and third-party platforms complies with applicable law and the policies of those platforms.
4. Fees and Payments
Pricing, deposits, milestones, recurring fees and payment due dates will be specified for each engagement. Unless otherwise agreed in writing, work may be paused when an agreed payment is overdue.
Third-party costs such as advertising spend, hosting, paid APIs, SaaS subscriptions, messaging charges, domain fees or platform fees are separate unless explicitly included in the agreed scope.
5. Project Changes
Requests outside the agreed scope may require revised pricing, timelines or a separate phase. MetaPass will aim to identify material scope changes before performing substantial additional work.
6. Third-Party Platforms
MetaPass may integrate with third-party products and platforms, including but not limited to Meta, WhatsApp, Instagram, Messenger, hosting providers, cloud platforms, CRM products, automation tools, analytics services and AI providers.
We do not control third-party availability, pricing, policies, API changes, account restrictions or service outages. A change by a third-party provider may require an implementation change, migration or additional work.
7. Advertising and Business Outcomes
Advertising, automation and technology can improve operations, but no specific lead volume, revenue level, conversion rate or commercial outcome is guaranteed unless expressly agreed in writing. Results depend on factors outside MetaPass control, including offer quality, budget, market conditions, platform performance, client response, staff execution and customer behaviour.
8. Intellectual Property
Ownership of custom deliverables will be determined by the applicable project agreement. MetaPass may retain ownership of pre-existing frameworks, reusable components, templates, methods, libraries, internal tools and general know-how used to deliver projects unless otherwise agreed in writing.
Clients are responsible for ensuring they have rights to any logos, media, data, copy, software credentials or other materials supplied to MetaPass.
9. Confidentiality
Both parties should take reasonable care with non-public business information received during a project. More detailed confidentiality obligations can be documented separately when required.
10. Limitation of Liability
To the extent permitted by applicable law, MetaPass will not be liable for indirect, incidental, special or consequential losses arising from website use, third-party platform failures, advertising platform decisions, account restrictions, data supplied by a client, or use of an implemented system outside the agreed purpose.
Nothing in these terms excludes liability that cannot lawfully be excluded.
11. Suspension and Termination
Either party may end an engagement according to the applicable project terms. MetaPass may suspend work or access where reasonably necessary because of non-payment, security concerns, unlawful use, platform-policy violations or material breach of agreed terms.
12. Website Content
Website content is provided for general information and may be updated without notice. Representative builds or solution blueprints shown on the site are illustrative unless expressly identified as a named client case study.
13. Changes to These Terms
We may update these Terms of Service as our services, website or legal requirements change. The latest version will be published on this page.
